תקנון (כולל שינויים עד אלול תש"ם (אוגוסט 1980)
א. השם: הסתדרות ישרון
ב. המטרה: להרבות אחדות בין יהודי ירושלים וביחוד בין בני הנעורים על בסיס היהדות המסורתית והשאיפות הלאומיות ולטפח הוקרה וחִבָּה לערכים אלה.
ג. האמצעים להשגת המטרה הם: 1. עבודה תרבותית עברית בין החברים ובין שדרות העם, כמו, שעורים הרצאות וכו'.
2. בית כנסת מסודר.
3. הקמת בנין שישמש מרכז להשגת המטרות הנ"ל.
ד. חברות: 1. חבר בהסתדרות ישרון יכול להיות כל יהודי מבן עשרים שנה ומעלה, הרוצה במטרות ישרון ואשר אורח חייו הוא בהתאמה להן.
2. לקבלת חבר צריך שתקדם הצעה בכתב על ידי שנים מחברי הסתדרות ישרון לועד הפועל. הועד הפועל דן בהצעה ומחליט בדבר.
3. בהתקבל חבר להסתדרות ישרון עליו להצהיר בכתב על הזדהותו עם מטרות הסתדרות ישרון ועל רצונו לסייע להשגתן.
4. חובת החבר היא לשלם דמי כניסה ודמי חבר שנתיים, כפי שייקבע באספה, כאמור בסעיף ו (9) (ג), וחברותו מתחילה עם תשלום דמי כניסה.
5. אי-תשלום דמי-חבר שנתיים רצופות יובא בפני הועד הפועל, והועה"פ יתרה בחבר כי חברותו תיפסק אם לא ימלא חובתו, וכן יודיע לחבר כי זכותו להשמיע טענותיו בפני הועד הפועל לגבי הפסקת חברותו. הועד הפועל ישמע את טענות החבר, אם יתבקש לכך, ובמידה והועד הפועל לא יקבל את טענות החבר, הרי כתום 6 חודשים לאחר משלוח התראה זו, החברות נפסקת. במקרים יוצאים מן הכלל יוכל הועד הפועל, אם יראה נמוקים מספיקים לכך, להפחית, לדחות, או לבטל את התשלום. חבר שחברותו נפסקת ע"י הועה"פ רשאי לערער על החלטת הועה"פ בפני ועדת הבקרת.
ה. שנת הכספים: שנת התקציב המתחילה באחד באלול.
ו. אסיפות: 1. האספה כללית הדו-שנתית הרגילה מתכנסת בחדשי שבט-אדר, או ביום הנקבע ע"י הועד הפועל. הזמנה לאספה עם ציון סדר יומה נשלחת לחברים לפחות שבועיים לפני האספה.
2. אספה כללית שנתית מתכנסת בחדשי שבט-אדר או ביום הנקבע ע"י הועד הפועל. הזמנה לאספה עם ציון סדר יומה נשלחת לחברים לפחות 10 ימים לפני האספה.
3. אספה כללית לשם מסירת דו"ח כספי, אישור המאזן ואישור התקציב לשנה הבאה נקראת ע"י ועד הפועל בחודשי תמוז או אב של כל שנה. ההזמנה בצרוף המאזן תשלח לחברים לפחות 10 ימים לפני האספה.
4. אספות כלליות מיוחדות יכולות להקרא: א) על פי החלטת הועד הפועל, ב) על פי דרישה בכתב חתומה לפחות על ידי עשירית ממספר החברים, ג) על פי דרישה בכתב של ועדת הבקורת.לא יאוחר משבועים אחרי קבלת הדרישה, קורא הועד הפועל לאספה כללית. ההזמנה תשלח לפחות 10 ימים לפני האספה.
5. אספה כללית נחשבת לחוקית: א) אם משתתף בה לפחות שליש ממספר החברים בגופם. ב) אם לאספה ראשונה לא בא המספר החוקי האמור של החברים קורא הועד הפועל לאספה שניה, ואספה זו יכולה להקרא ולהתקיים גם באותו יום, חצי שעה אחרי הזמן הקבוע, והיא נחשבת חוקית בכל מספר המשתתפים.
6. אספה כללית דו-שנתית רגילה, או אספה כללית מיוחדת שנקראת עפ"י דרישת עשירית ממספר החברים או עפ"י דרישה בכתב של ועדת הביקורת בוחרת יושב ראש לניהול האספה, וזכאית להחליט על סדר יומה. אספה שנקראה ע"י הועד הפועל מתנהלת ע"י יו"ר הועד הפועל, ובהעדרו ע"י סגנו, וסדר יומה נקבע ע"י הועד הפועל.
7. אספה כללית דו-שנתית דנה ומחליטה בענינים הבאים:
א. אישור דין וחשבון של הועד הפועל היוצא.
ב. בחירת הועד הפועל בבחירות חשאיות.
ג. בחירת יו"ר הועד הפועל וסגנו, בתנאי שיו"ר הועד הפועל לא יכהן יותר מאשר 4 שנים ברציפות, ויוכל להבחר מחדש כעבור 2 שנים מאז תום פעולתו כיושב ראש.
ד. על ענין אחר שיועמד על סדר יומה, פרט לענינים הנדונים באספות מיוחדות, כאמור בסעיפים 9, 10 להלן.
8. אספה כללית שנתית דנה ומחליטה בענינים הבאים:
א. אישור דין וחשבון שנתי של הועד הפועל.
ב. כל ענין אחר שיועמד על סדר יומה, פרט לענינים הנדונים באספות כאמור בסעיפים 7, 9, 10 של פרק זה.
9. אספה כללית לאישור התקציב דנה ומחליטה בענינים הבאים:
א. אישור הדו"ח הכספי והמאזן לשנה שחלפה,
ב. אישור תקציב ההכנסות וההוצאות לשנה הבאה,
ג. קביעת סכום דמי כניסה ודמי חבר לשנה הבאה,
ד. מינוי נושאי משרות קבועים בשכר.
ה. בחירת ועדת בקרת.
10. אספה כללית מיוחדת דנה ומחליטה בענינים הבאים:
א.שנויים בתקנות, אולם שום אספה אינה יכולה להכניס שנוי או שנויים בסעיפים ב' ג' של התקנות אם לא יצביעו בעד השנוי לפחות ארבע חמישיות של המשתתפים בה, ומספר המשתתפים בהצבעה הוא לפחות שני שלישים ממספר כל חברי הסתדרות ישרון. תיקונים בסעיפים אחרים של התקנות יעשו בהתאם לרוב הדרוש על פי חוק העמותות תש"מ-1980.
ב. ערעורים על החלטות הועד הפועל.
ג. מיזוג, איחוד, או התקשרות עם גופים אחרים.
ד. קבלת תרומות, או הקצבות, מותנות, או מיועדות למטרות מסוימות, אשר כל אחת מהן עולה על 1/3 מהתקציב השנתי.
ה. הוצאות הכרחיות מעל ל-10% מהיקף התקציב השנתי של ההסתדרות.
ו. בכל ענין שהאספה תחליט לדון עליו.
11. כל כספים (קרנות, עודפים וכו') של האגודה הם קודש למטרות האגודה, וחלוקת רווחים או טובות הנאה בכל צורה שהיא, בין חבריה, אסורה. במקרה של פירוק האגודה יועברו הרכוש, הקרנות, העודפים וכו' למוסד ציבורי אחר בעל מטרות זהות, ובהעדר-זהות קרובה ביותר, בשום פנים ואופן לא יחולקו בין החברים.
ח. ועד הפועל: 1. עוסק בכל הענינים של הסתדרות ישרון ולמען הסתדרות ישרון פרט לאותם הענינים המסורים לאספה הכללית לפי הסעיפים הקודמים.
2. הועד הפועל מונה 7 חברים והוא נבחר לתקופה של שנתיים, אולם הועד הפועל יכול לכנס אסיפה כללית לבחירת ועד פועל כעבור שנה מיום הבחרו.
3. הועד הפועל בוחר מבין חבריו: מזכיר כבוד וגזבר ואף יו"ר וסגן יו"ר כאשר באסיפה כללית לא נבחרו.
4. הועד הפועל ממנה מבין חברי ההסתדרות: ועד בית הכנסת, וכל ועדה שימצא לנחוץ, וקובע את תפקידיה וסמכויותיה.
5. חבר ועדה כאמור רשאי לערער על החלטות הרוב בועדה, בפני הועד הפועל.
6. הועד הפועל מתאסף לפחות פעם בחדש.
7. יושב ראש הועד הפועל זכאי לקרוא לישיבות של הועד הפועל עפ"י יוזמתו או עפ"י בקשה של שנים מחברי הועד הפועל.
8. הועד הפועל הנבחר מכהן בתפקידו עד הבחרו של הועה"פ הבא אחריו.
חתימות המחייבות את ההסתדרות:
הועד הפועל יקבע אילו חתימות יחייבו את ההסתדרות.
ט. ועדת בקרת: 1. ועדת הבקרת תבקר את הפעולות הכספיות של הועד הפועל. חוות דעתה תובא ע"י הועה"פ לאספה הכללית הדנה בדו"ח הכספי השנתי.
2. חבר שחברותו נפסקת ע"י הועה"פ רשאי לערער על החלטה זו בפני ועדת הבקרת וקביעתה של ועדת הבקרת מחיבת את הועד הפועל.
3. תטפל בתלונות חברים ותביא מסקנותיה בפני הועד הפועל.
ועדת הבקרת נבחרת לתקופה של שנה אחת ומונה 3 חברים.
Yeshurun Organization
Articles of Association (including amendments as of August 1980, Elul 5740)
A. Name: Yeshurun Organization
B. Objective: To increase unity among the Jews of Jerusalem, especially among the youth, on the basis of traditional Judaism and national aspirations and foster respect and fondness for these values.
C. The means to achieve the goal are:
1. Hebrew cultural work among members and the wider public, such as, classes, lectures, etc.
2. An organized synagogue.
3. Erecting a building which would serve as a center for achieving the aforementioned goals.
D. Membership:
1. A member of the Yeshurun Organization can be any Jew, 20 years of age or older, who aspires to the same goals as Yeshurun and whose lifestyle corresponds with them.
2. In order to accept a member, a written proposal must be submitted by two members of Yeshurun Organization to the Acting Committee. The Acting Committee shall discuss the proposal and decide on the matter.
3. When a member is admitted to Yeshurun Organization he must declare in writing his identification with the objectives of Yeshurun and his desire to assist in achieving them.
4. The member is obligated to pay admittance fees and annual membership dues, as shall be determined in the meeting, as stated in Section F (9) (c) and his membership begins with the payment of admittance fees.
5. Non-payment of membership dues for two consecutive years shall be brought before the Acting Committee and the Acting Committee shall notify the member that his membership will be terminated if he does not fulfill his obligation and shall inform the member that he is entitled to make his claims heard before the Acting Committee regarding the termination of his membership. The Acting Committee shall hear his claims, if it is requested to do so, and if the Acting Committee does not accept his claims, as of 6 months of receiving this notification, his membership shall be terminated. In exceptional cases, the Acting Committee may, if it finds sufficient reason to do so, decrease, postpone or cancel the payment. A member whose membership is terminated by the Acting Committee may appeal the Acting Committee's decision before the Control Committee.
E. The fiscal year:
The budget year beginning on the first of Elul.
F. Meetings:
1. The regular biennial general meeting convenes during the months of Shvat-Adar or on a day determined by the Acting Committee. An invitation to the meeting delineating its agenda is sent to the members at least two weeks prior to the meeting.
2. An annual general meeting convenes during the months of Shvat-Adar or on a day determined by the Acting Committee. An invitation to the meeting delineating its agenda is sent to the members at least 10 days prior to the meeting.
3. A general meeting in order to submit a financial report, approve the balance sheets and approve the budget for the upcoming year is called by the Acting Committee during the months of Tammuz or Av each year. An invitation, which includes the balance sheet, shall be sent to the members at least 10 days prior to the meeting.
4. Special general meetings may be called: a) Upon a decision by the Acting Committee. b) Pursuant to a written demand signed by at least one tenth of the members. c) Pursuant to a written demand by the Control Committee. No later than two weeks after receiving the request, the Acting Committee must call a general meeting. The invitation shall be sent at least 10 days prior to the meeting.
5. A general meeting is considered legal: a) If at least one third of the members participate in person. b) If, at the first meeting, the aforementioned quorum does not attend, the Acting Committee convenes a second meeting and this meeting may be called and take place on the same day, half an hour after the determined time and is considered legal with any number of participants.
6. A regular biennial general meeting or special general meeting called upon demand of one tenth of the members or upon written demand of the Control Committee elects a chairperson to conduct the meeting and is entitled to decide on its agenda. A meeting called by the Acting Committee is conducted by the chairperson of the Acting Committee, and in his absence, by the vice-chairperson and its agenda is determined by the Acting Committee.
7. A biennial general meeting discusses and decides on the following matters:
(a) Approval of the report of the outgoing Acting Committee.
(b) Election of the Acting Committee, by secret ballot.
(c) Election of the chairperson and vice-chairperson of the Acting Committee, provided that the chairperson of the Acting Committee does not hold the position for more than 4 consecutive years, and may be re-elected 2 years after the end of his term as chairperson.
(d) Additional matters brought to the agenda, excluding matters discussed in special meetings, as stated in Clauses 9 and 10 below.
8. An annual general meeting discusses and decides on the following matters:
(a) Approval of the annual report of the Acting Committee.
(b) Any other matter brought to the agenda, excluding matters discussed at meetings as stated in Clauses 7, 9 and 10 of this chapter.
9. A general meeting for approving the budget discusses and decides on the following matters:
(a) Approval of the financial report and balance sheet of the previous year;
(b) Approval of the budget of income and expenses for the upcoming year;
(c) Determination of the admittance fees and membership dues for the upcoming year;
(d) Appointment of regular salaried officers.
(e) Election of the Control Committee.
10. A special general meeting discusses and decides on the following matters:
(a) Amendments to the Articles, although no meeting may make amendments or changes to Sections B and C of the Articles, unless at least four fifths of the participants vote in favor of the amendment and the number of voting participants is at least two thirds of all the members of the Yeshurun Organization. Amendments to other sections of the Articles shall be made in accordance with the majority required in the Amutot (Non-Profit Societies) Law 5740 – 1980.
(b) Appeals on decisions of the Acting Committee.
(c) Mergers, unifications or engagements with other parties.
(d) Receipt of donations or funding, stipulated or designated for specific purposes, each of which exceeds 1/3 of the annual budget.
(e) Necessary expenses exceeding 10% of the annual budget of the Organization.
(f) Any matter the meeting resolves to discuss.
11. All monies (funds, surpluses, etc.) of the Society are set aside strictly for the purposes of the Society and distribution of profits or benefits in any manner, among its members, is prohibited. In the event of dissolution of the Society, the property, funds, surpluses, etc. shall be transferred to another public institution with identical goals, or in its absence, to one with goals as similar as possible; under no circumstances shall they be divided among the members.
The Acting Committee:
1. Deals with all the matters of the Yeshurun Organization and on behalf of the Yeshurun Organization, excluding all matters conferred upon the general meeting pursuant to the previous sections.
2. The Acting Committee numbers 7 members and is elected for a period of two years; however, the Acting Committee may convene a general meeting for the election of an Acting Committee one year after its election.
3. The Acting Committee elects from among its members: an honorary secretary, a treasurer and even a chairperson and vice-chairperson if they were not elected in a general meeting.
4. The Acting Committee appoints from among the members of the organization: a synagogue committee and any committee that it deems necessary, and determines its jobs and authority.
5. A member of such committee may appeal the decisions of the majority of the committee, before the Acting Committee.
6. The Acting Committee convenes at least once a month.
7. The chairperson of the Acting Committee is entitled to call meetings of the Acting Committee upon his initiative or upon the request of two members of the Acting Committee.
8. The elected Acting Committee serves in this position until the election of the following Acting Committee.
Signatures binding upon the Organization:
The Acting Committee shall determine which signatures shall be binding upon the Organization.
Control Committee:
1. The Control Committee shall oversee the financial actions of the Acting Committee.
Its opinion shall be brought by the Acting Committee to the general meeting which discusses the annual financial report.
2. A member whose membership is terminated by the Acting Committee may appeal this decision before the Control Committee and the Control Committee's decision is binding upon the Acting Committee.
3. Shall deal with members’ complaints and present its conclusions before the Acting Committee.
The Control Committee is elected for a period of one year and numbers 3 members.
